Terms of Service
Please read carefully. These Terms include a limitation of liability and, where enforceable, an arbitration clause and class-action waiver. Commercial (non-government) customers agree to resolve disputes through binding individual arbitration and waive participation in class actions, with the right to opt out within 30 days of first accepting these Terms by emailing support@intelalytic.com. Government and public-safety agencies are excluded from arbitration and are governed by Section 14.
1. Agreement and acceptance
These Terms of Service ("Terms") govern access to and use of the PULSE Services provided by IntelAlytic Inc. By creating an account, accessing, or using the Services, you agree to these Terms. If you accept on behalf of an organization, you represent that you have authority to bind it, and "you" refers to that organization. Enterprise customers may instead sign an Order Form or Master Subscription Agreement, which controls in case of conflict.
2. The Services and accounts
PULSE is a standalone customer-relationship-management platform that manages the full customer lifecycle, contacts, companies, deals, pipelines, tasks, documents, quotes, invoices, and projects, in one system so a single entry flows through every stage. You are responsible for your account, users, credentials, and the accuracy and legality of the data you enter, import, or send through the Services.
3. Fees and payment
PULSE is offered on subscription tiers described in your Order Form or on our pricing materials. Subscriptions are billed in advance, are non-refundable except as required by law, and you are responsible for applicable taxes. Subscriptions renew automatically for successive terms until cancelled, may be cancelled at any time effective at the end of the current billing period, and are billed through our payment processor.
4. Customer data and license
As between the parties, you retain all rights to the data you submit ("Customer Data"), including your CRM records. You grant IntelAlytic a limited license to host, process, and display Customer Data to provide, secure, and improve the Services and as described in the Privacy Policy and Data Processing Addendum. You are solely responsible for the accuracy, quality, and legality of Customer Data and for having the rights necessary to provide it.
5. Customer data accuracy and responsibility
You are responsible for the accuracy, quality, and legality of the records you enter, import, or send through PULSE, and for having the rights and lawful basis to process them, including any personal data of your own contacts. You control your data, may correct or delete it, and may export it at any time. PULSE tools and AI-assisted features support, but do not replace, your own diligence and legal and compliance obligations.
6. Acceptable use
You agree not to misuse the Services, including as described in our Acceptable Use Policy, which is incorporated by reference.
7. Intellectual property
The Services, software, and all related intellectual property are owned by IntelAlytic and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Services during your term. You may not copy, modify, reverse engineer, resell, scrape, or create derivative works except as permitted by law.
8. Third-party services
The Services may integrate with third-party products you connect, including email, calendar, and other IntelAlytic products such as ArmorList and ArmorTrack. Your use of third-party products is governed by their terms, and IntelAlytic is not responsible for them.
9. Confidentiality
Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms.
10. Warranties and disclaimers
We warrant that the Services will perform materially in accordance with their documentation. Except as expressly stated, the Services are provided "as is" and "as available," and we disclaim all other warranties to the maximum extent permitted by law. PULSE provides tools and AI-assisted insights to support your decisions; it does not replace your own business, compliance, and procurement judgment.
11. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data. Each party's total liability is capped at the greater of the fees you paid to IntelAlytic in the twelve months preceding the claim or one hundred U.S. dollars (USD $100). Nothing limits liability that cannot be limited by law.
12. Indemnification
Each party will defend and indemnify the other against third-party claims arising from its breach of these Terms, subject to prompt notice and cooperation. Public agencies and government entities that are legally restricted from providing indemnification are excused from their indemnification obligation to the extent of that restriction.
13. Term, suspension, and termination
These Terms apply while you use the Services. We may suspend or terminate access for material breach, non-payment, or risk to the Services. On termination, you may export Customer Data for a limited period, after which we delete or de-identify it per the Privacy Policy and DPA.
14. Governing law and disputes
These Terms are governed by the laws of the State of Colorado, without regard to conflicts rules. The exclusive venue for any dispute not subject to arbitration is the state and federal courts located in Denver County, Colorado, and the parties consent to personal jurisdiction there.
15. Language and governing version
These Terms and the other documents in this set are written and executed in English, which is the sole authoritative and legally governing version. Any translation is provided for convenience only; in the event of any conflict or ambiguity between the English version and a translation, the English version controls.
16. Changes and contact
We may update these Terms and will post the revised version with notice of material changes. Contact support@intelalytic.com.
