Data Processing Addendum
This Data Processing Addendum ("DPA") applies where IntelAlytic processes personal data on behalf of a customer ("Controller") in providing the Services, and forms part of the agreement between the parties. Capitalized terms not defined here have the meaning in the Terms.
1. Roles and scope
Where a customer creates or imports its own business records for IntelAlytic to process on its behalf, the Controller determines the purposes and means of processing that Customer Personal Data; IntelAlytic acts as processor and processes it only on documented instructions, including as set out in the Terms and this DPA. For account, billing, and website data, IntelAlytic is an independent controller under its Privacy Policy.

3. Controller and processor obligations
The Controller warrants it has a lawful basis and all notices and consents required to provide the data. IntelAlytic will process only on instructions, ensure personnel are bound by confidentiality, and implement the security measures in Section 5.
4. Sub-processors
The Controller authorizes IntelAlytic to engage sub-processors listed on our Sub-processors page. We impose data-protection obligations on each sub-processor no less protective than this DPA, remain responsible for their performance, and will give notice of changes with a right to object.
5. Security measures
IntelAlytic maintains technical and organizational measures including encryption in transit and at rest, access controls and MFA, network protection, logging and monitoring, tested backups, and secure development practices. See the Trust & Compliance Center.
6. Personal data breach
IntelAlytic will notify the Controller without undue delay after becoming aware of a personal data breach affecting Customer Personal Data, and provide information reasonably necessary for the Controller to meet its notification obligations.
7. Data subject requests and assistance
Taking into account the nature of processing, IntelAlytic will assist the Controller with data subject requests and with DPIAs and consultations, and will promptly inform the Controller of requests received directly.
8. International transfers
Where processing involves transfers from the EEA, UK, or Switzerland, the parties incorporate the applicable Standard Contractual Clauses and the UK Addendum, which prevail over conflicting terms.
9. Audits
IntelAlytic will make available information necessary to demonstrate compliance and allow for audits, satisfied where possible through current third-party reports and certifications, subject to reasonable confidentiality and frequency limits.
10. Return and deletion
On termination, IntelAlytic will delete or return Customer Personal Data as instructed, except where retention is required by law, in which case it remains protected and is blocked from further processing.
11. U.S. state privacy terms
Where processing is subject to U.S. state privacy laws, IntelAlytic acts as a "service provider" or "processor," does not sell or share such data, and does not retain, use, or disclose it outside the direct business relationship or the permitted purposes.
